  1. Identity of the Service Provider<\/strong><\/li><\/ol>

    1.1. These Terms and Conditions govern access to and use of the website of BLOATWARE, S.A. DE C.V. (hereinafter, \u201cBLOATWARE\u201d),BLOATWARE<\/strong>as well as the engagement of translation, localization, and related linguistic services offered through it.<\/p>

      1.3. Use of the website and\/or engagement of the services implies the Client\u2019s (hereinafter, the \u201cClient\u201d) full and unconditional acceptance of these Terms and Conditions.<\/p>

      1. Purpose and Scope of Services<\/strong><\/li><\/ol>

        2.1. BLOATWARE provides professional translation, localization, transcription, and other related linguistic services, both under predefined service plans and customized \u201cTailored Translation\u201d services.<\/p>

        2.2. Services may include, but are not limited to:<\/p>

        • Translation of general, commercial, technical, or legal texts.<\/li>
        • Localization of websites, digital content, and marketing materials.<\/li>
        • Audio or video transcription.<\/li>
        • Creation and management of terminological glossaries and translation memories.<\/li>
        • Multilingual SEO optimization services and cultural adaptation for different markets.<\/li><\/ul>

          2.3. The specific scope of each service (languages, word volume, delivery timelines, format, level of specialization, etc.) shall be defined in the quotation accepted by the Client, whether through the engagement of a Plan or a customized service.<\/p>

          1. Service Plans Published on the Website<\/strong><\/li><\/ol>

            3.1. BLOATWARE offers the Client various tiered service plans, described and updated in the corresponding section of the website.<\/p>

            3.2. Each plan indicates, for informational purposes, the word volume range, number of languages, primary type of service (e.g., translation, localization, transcription, multilingual SEO), and level of professional support, without prejudice to the details specified in each individual project quotation.<\/p>

            3.3. The features, pricing, and commercial terms of the plans may be modified and\/or updated at any time on the website, without retroactive effect on projects already quoted and accepted by the Client.<\/p>

            3.4. In the event of any discrepancy between the general information published on the plans page and the quotation issued for a specific project, the provisions of the quotation accepted by the Client shall prevail.<\/p>

            1. \u201cTailored Translation\u201d and Project Reference Numbers<\/strong><\/li><\/ol>

              4.1. For projects that do not fit within the standard plans, BLOATWARE offers a customized service called \u201cTailored Translation,\u201d the scope, pricing, and timelines of which shall be determined through an individual quotation.<\/p>

              4.2. Each customized quotation may be linked to a project reference number identifying the project, amount, languages, word volume, deadlines, and other specific conditions agreed upon with the advisor.<\/p>

              4.3. To proceed with the engagement of customized services, the Client must:<\/p>

              • Enter the project reference number provided by the advisor.<\/li>
              • Enter the payment amount according to the customized quotation.<\/li><\/ul>

                4.4. If the Client does not yet have a reference number, they must contact BLOATWARE through the website contact form to request a customized quotation.<\/p>

                1. 5. Contracting Process<\/strong><\/li><\/ol>

                  5.1. The contracting process may include, as applicable:<\/p>

                  • Submission of a request for information or quotation.<\/li>
                  • Issuance of a financial proposal or suggested plan.<\/li>
                  • \u2022\tWritten confirmation of acceptance by the Client (including electronic means).<\/li>
                  • Generation of a project reference number, where applicable.<\/li>
                  • Full or partial payment, in accordance with the quotation.<\/li><\/ul>

                    5.2. The agreement shall be deemed concluded when the Client accepts the quotation, these Terms and Conditions, and makes the required initial payment, if applicable.<\/p>

                    5.3. The Client undertakes to provide all necessary information and materials (source texts, glossaries, references, instructions, formats, etc.) clearly, legibly, and in a timely manner, which may impact delivery timelines and service quality.<\/p>

                    1. Pricing, Invoicing, and Payment Methods<\/strong><\/li><\/ol>

                      6.1. Service prices may be generally displayed on the website or specifically defined in each quotation and are expressed in Mexican pesos (MXN), plus applicable value-added tax (VAT).<\/p>

                      6.2. Payments may be made through the methods indicated on the website or in the quotation (card payment).<\/p>

                      6.3. Clients requiring an invoice must provide complete tax information prior to the issuance of the corresponding electronic tax receipt (CFDI).<\/p>

                      6.4. BLOATWARE may require full or partial advance payment, particularly for high-volume projects or new clients.<\/p>

                      6.5. In case of late payment, BLOATWARE may suspend services and\/or apply surcharges and default interest as indicated in the quotation or invoice, without prejudice to any other applicable legal actions.<\/p>

                      1. 7. Performance Deadlines and Deliveries<\/strong><\/li><\/ol>

                        7.1. Delivery deadlines shall be established in the quotation or contracted plan and shall begin to run upon confirmation of payment and full receipt of the necessary materials from the Client.<\/p>

                        7.2. BLOATWARE undertakes to make reasonable efforts to meet agreed deadlines but shall not be liable for delays arising from force majeure, technical failures, unavailability of electronic means, or delays attributable to the Client.<\/p>

                        7.3. Deliveries shall preferably be made by electronic means (email, cloud platforms, or other digital methods), unless another format or method is agreed upon.<\/p>

                        1. Changes, Cancellations, and Revisions<\/strong><\/li><\/ol>

                          8.1. Any substantial modification to the source text, instructions, languages, deadlines, or project scope after acceptance of the quotation may result in an adjustment to pricing and delivery timelines, which shall be communicated to the Client for acceptance.<\/p>

                          8.2. In the event of cancellation by the Client after work has commenced, BLOATWARE shall be entitled to charge at least the portion of the project effectively completed at the time of cancellation.<\/p>

                          8.3. The Client shall have a reasonable period from delivery to request clarifications or minor adjustments related to evident translation errors or omissions. Such adjustments shall not incur additional cost provided they do not involve changes in scope, tone, terminology, or style not initially agreed upon.<\/p>

                          8.4. Requests involving content rewriting, changes in instructions, adaptation to new uses not originally contemplated, or new versions for different purposes shall be considered additional services and may be quoted separately.<\/p>

                          1. Service Quality and Limitation of Liability<\/strong><\/li><\/ol>

                            9.1. BLOATWARE provides its services through professional translators and specialized tools, seeking to ensure terminological accuracy, technical consistency, and contextual adaptation in accordance with the parameters and intended use communicated by the Client.<\/p>

                            9.2. The Client acknowledges that any translation involves a certain degree of linguistic and cultural interpretation; therefore, BLOATWARE does not guarantee absolute literalness but rather a translation appropriate to the defined context, purpose, and target audience.<\/p>

                            9.3. In the case of technical or legal texts, the Client is responsible for internally validating translations with their technical or legal advisors before using the documents for official, regulatory, or contractual purposes.<\/p>

                            9.4. Under no circumstances shall BLOATWARE be liable for:<\/p>

                            • Indirect, incidental, special, or consequential damages.<\/li>
                            • Loss of profits, business opportunities, or commercial reputation.<\/li>
                            • \u2022\tConsequences arising from the use of translations outside the context and instructions provided by the Client.<\/li><\/ul>

                              9.5. BLOATWARE\u2019s total liability to the Client for any cause related to a specific project shall be limited to the amount effectively paid for such project.<\/p>

                              1. Client Obligations<\/strong><\/li><\/ol>

                                10.1. The Client undertakes to:<\/p>

                                • \u2022\tProvide legible, complete, and truthful materials.<\/li>
                                • \u2022\tClearly specify the intended use of the text (commercial, legal, technical, academic, etc.).<\/li>
                                • \u2022\tProvide glossaries, style guides, or other references when required by the nature of the project.<\/li>
                                • \u2022\tReview delivered materials and promptly communicate any observations.<\/li><\/ul>

                                  10.2. The Client represents that they are the owner of, or have the necessary rights to, the documents and content submitted to BLOATWARE for translation or processing and shall hold BLOATWARE harmless from any third-party claims related to intellectual property or confidentiality of such materials.<\/p>

                                  1. 11. Intellectual Property<\/strong><\/li><\/ol>

                                    11.1. Original documents remain the property of the Client.<\/p>

                                    11.2. Unless otherwise agreed, exploitation rights over the final translations are assigned to the Client exclusively for the purposes and uses indicated in the quotation or project, once full payment for the service has been received.<\/p>

                                    11.3. BLOATWARE retains ownership of translation memories, internal glossaries, terminology databases, and other tools developed in the provision of the service and may reuse them to ensure consistency in future projects.<\/p>

                                    1. Confidentiality and Data Protection<\/strong><\/li><\/ol>

                                      12.1. BLOATWARE undertakes to treat as confidential the documents and information provided by the Client, implementing reasonable security measures to prevent unauthorized access, loss, or improper disclosure.<\/p>

                                      12.2. BLOATWARE personnel, collaborators, and suppliers participating in a project shall likewise be subject to confidentiality obligations.<\/p>

                                      12.3. The processing of personal data carried out through the website and in the provision of services shall be governed by the corresponding Privacy Notice, which shall be made available to the Client\/User on the website.<\/p>

                                      1. Use of the Website<\/strong><\/li><\/ol>

                                        13.1. The User undertakes to use the website and its contact forms lawfully, diligently, and in accordance with applicable law, morality, and public order.<\/p>

                                        13.2. It is prohibited to:<\/p>

                                        • \u2022\tUse the website for unlawful, defamatory purposes or purposes contrary to third-party rights.<\/li>
                                        • \u2022\tAttempt unauthorized access to restricted areas, systems, or data.<\/li>
                                        • \u2022\tIntroduce malicious programs or carry out acts that may affect the operation of the website.<\/li><\/ul>

                                          13.3. BLOATWARE may temporarily or permanently suspend access to the website or certain functionalities in the event of misuse, security risks, or technical maintenance.<\/p>

                                          1. 14. Nature as an Adhesion Contract and Publication<\/strong><\/li><\/ol>

                                            14.1. These Terms and Conditions constitute an adhesion contract insofar as they establish, in standardized format, the terms applicable to the provision of services to consumers or users.<\/p>

                                            14.2. This contract model is made available to the public on BLOATWARE\u2019s website in compliance with applicable regulations governing adhesion contracts concluded by electronic means.<\/p>

                                            1. Amendments to the Terms and Conditions<\/strong><\/li><\/ol>

                                              15.1. BLOATWARE reserves the right to modify these Terms and Conditions at any time.<\/p>

                                              15.2. Modifications shall apply from the moment of their publication on the website and shall not have retroactive effect on projects already contracted, unless required by law.<\/p>

                                              15.3. Continued use of the website or engagement of new services after publication of modifications shall imply acceptance of the new conditions.<\/p>

                                              1. Governing Law and Jurisdiction<\/strong><\/li><\/ol>

                                                16.1. These Terms and Conditions shall be governed by and construed in accordance with the federal laws of Mexico and, where applicable, the laws of Mexico City.<\/p>

                                                16.2.
